WILDROCK® Ascent™ Program License

This details the particular WILDROCK® Ascent™ license grant. This grant is provided as part of accepting the registration terms and conditions available upon request from WildRock Public Relations and Marketing, LLC, a/k/a Trailblazers and WildRock Trailblazers (all “WildRock”) as Licensor. Terms and conditions also apply and are incorporated; those are available from WildRock and may be displayed at https://journey.wildrocktrailblazers.com/store. The registered individual (the “Participant”) is licensed for an applicable program, here the WILDROCK® Ascent™ program as set forth below. Together with the mentioned terms and conditions, these are the contract under which the individual Participant accesses the applicable program, becomes trained, receives certain rights, and accepts certain obligations. The Licensor provides different programs and different licensing levels under its different programs, and by registering under one of the WILDROCK® programs, Participant receives a limited license to: obtain and participate in the applicable program, use materials for only that program, and rights based on that program.  The applicable program here is the WILDROCK® Ascent™ program. The WILDROCK® Ascent™ program includes the following details:

• Training/Course: The WILDROCK® Ascent™ program, price as set forth in registration/platform details without proration or refund.
• Materials/Activities: Materials, training(s) made available and/or presented in a combination of on-demand (videos) and virtual calls. 
• Prerequisites: No previous WildRock program is required. It is understood and agreed that Participant is responsible to supply their own technology, internet access, any needed WildRock-compatible access or other software, and adequate ISP services and bandwidth for the applicable program. WildRock is not responsible for interruptions in or inadequacies of service.
• Duration/Completion: Available to be completed on-demand and at scheduled call intervals for the WILDROCK® Ascent™ program. Participant understands that they will have access to the purchased program for the period of time specified on the program platform. Once the program ends, it is discontinued, or it ceases to be offered, access will no longer be available. WildRock will attempt to notify Participant via the email used to purchase the program of an opportunity to download program materials prior to access ending, but unquestioned notice cannot be guaranteed. If Participant fails to check their email in time or otherwise does not download materials before the program access ends, WildRock is not responsible for any loss of Program materials or loss of access.

Upon: a) the Participant applying for and paying all required payment(s) when due for the applicable program, b) the Participant completing and if/as required truthfully certifying satisfaction of all applicable program requirements or activities, c) the Participant accepting the then-applicable license agreement as provided here (and which may be displayed at  https://journey.wildrocktrailblazers.com/store) including the then-applicable terms and conditions, and d) WildRock formally accepting payment for and registering the Participant; the Participant is granted the personal, non-exclusive, non-assignable, worldwide, royalty-free, terminable, license as set forth below for so long as Participant complies with all terms of this agreement. Under this program, upon the Participant is granted the right to use certain aspects of the WILDROCK® Intellectual Property, to use the WILDROCK® Ascent™ program materials, and to apply the WILDROCK® Ascent™ program principles as follows:

1. Upon completion, the Participant is licensed to identify and present the Participant herself or himself as: a WILDROCK® Ascent™ program graduate, a WILDROCK® Ascent Trailblazer™, and/or use other similar uses as WildRock may from time to time approve in writing.
2. Participant is licensed to print, display, and present the above words/letters and/or through similar uses as WildRock may from time to time approve in writing, each to indicate Participant’s individual status relative having taken and completed the WILDROCK® Ascent™ program on any individual credentials, resume, curriculum vitae, individual business card, individual web or app (e.g., LinkedIn, etc.) page, or individual brochure used to present or promote Participant’s individual accomplishments or credentials. Participant is also licensed to use WildRock’s logos as WildRock may set forth in its then-current policies, and/or may from time to time make available and approve in writing.
3. Participant is licensed to faithfully apply the WILDROCK® Ascent™ principles in the course of and for Participant’s approved activities as WildRock may set forth in its then-current policies, and/or may from time to time authorize in writing.
4. Participant is licensed to use the above words and marks verbally to faithfully and informally inform others about the WILDROCK® Ascent™ principles in their factual conversations, so long as the Participant directs all requests for information relative to programs, courses, trainings, or the like to WildRock.
5. Participant is licensed to advocate for WILDROCK® Ascent™ programs, courses, and trainings.

Notice that these rights are personal to Participant as an individual and may not be assigned, directed to be used or conducted by any third person, or sub-licensed in any way. They are only separately extended to an Associated Business by WildRock separate written approval and by that business also being bound to this agreement. If Participant cannot bind that business or that business does not desire to be bound to this agreement, do not use any rights set out below as or for an Associated Business.

Associated Business License (if apply): The Licensor recognizes that the Participant may conduct activities through a related business which the Participant adequately controls in licensed activities (an “Associated Business”). If Participant wants to obtain registration under an Associated Business, or to have rights licensed to promote Participant’s status and/or apply Participant’s principles under such a business, Participant must identify the Associated Business at registration to obtain WildRock approval for such use in writing. The Associated Business must accept and agree to be separately bound to all terms of this agreement by Participant’s apparent authority or otherwise. Upon WildRock’s approval and registration, the Associated Business will be licensed under substantially the same terms for so long as Participant is involved with and adequately controls such business and is otherwise licensed. Upon WildRock approval such Associated Business is granted a personal, non-exclusive, non-assignable, worldwide, royalty-free, terminable license for so long as Participant is otherwise licensed and remains so involved with it/them, and Participant and it/they otherwise comply with all terms of this agreement. Upon written approval by WildRock, that business is granted rights as follows:

1. Each Associated Business is licensed to have Participant’s rights as granted above presented through its/their business to the extent such presentation is for, identifies, and makes clear that Participant is the one personally involved in such activities.
2. Each Associated Business is licensed to print and display the above licensed letters, words, and logos to the extent such printing or display is for, identifies, and makes clear that Participant is the one personally involved in such activities.
3. Each Associated Business is licensed to utilize and benefit from Participant’s personal application of the WILDROCK® Ascent™ principles as licensed above in the course of and for Participant’s personal affiliation-authorized activities to the extent such printing or display is for, identifies, and makes clear that Participant is the one personally involved in such activities.

Notice that these rights exist only so long as Participant is otherwise licensed and is so involved with that Associated Business and that Participant has the authority to and does bind them to this agreement. If Participant leaves them/it, loses adequate control, or stops providing such licensed activities through them/it, those rights immediately and automatically cease and it/they must, and agree to, remove all such uses. It/they can only promote WILDROCK® Ascent™ status and the like because of Participant. They cannot tout or advertise any WILDROCK® Ascent™ authorization beyond Participant’s involvement, without Participant being involved, or beyond what Participant has a right to do. And Participant and the Associated Business, each represent and warrant that Participant has the authority to bind each Associated Business to this agreement and provide them the desired rights.

Confidentiality: The WILDROCK® Ascent™ program is proprietary to WildRock, is made available only by subscription and license, and is not made available to the general public. The Participant and any Associated Business agree that all WildRock programs, their principles, and all materials presented, provided, and/or made available at any time and all Derivatives are and will be held confidential and not provided to any other person without written WildRock approval. In this regard, and throughout the term of this agreement and thereafter, the Participant and any Associated Business agree to use the same degree of care that she/he/they use to protect their own confidential and trade secret information but not less than a reasonable degree of care to protect such information; and she/he/they agree to similarly maintain the confidentiality of their login and access credentials and will not share the same with any other person.

License Limits: No other rights are licensed, and rights for the Participant to use the WILDROCK® Ascent™ system and principles and the WILDROCK® Intellectual Property are only provided under this or other program applicable executed license(s). Any other uses of any item of Intellectual Property are not appropriate and are not licensed. To help protect the system – and help Participant prevent wrongdoing, know that the following activities, among others, are not permitted under the license (other items are also not permitted but these are some often questioned items).

1. Audio and/or video recording of any portions of any particular WILDROCK® training or course (other than taking of sporadic pictures of isolated class participation activities solely for posterity) is not permitted and is agreed not to be done.
2. Utilizing rights in or through a separate business that is not bound as an Associated Business, is not approved and thus is not licensed; using WILDROCK® materials, trademarks, terms or marketing through a separate business that is not licensed as an Associated Business, and not demanding that any such business immediately cease unauthorized uses, is not permitted and is agreed not to be done.
3. Use of any terms other than the precisely licensed uses above or otherwise approved in writing, creation of, use of, and/or having any rights in new Trailblazer intellectual property-type terms or WildRock-type terms that the Licensor, in its reasonable discretion, believes might potentially create any likelihood of confusion is not permitted and is agreed not to be done. If Participant has any doubts or needs clearance, ask the Licensor but remember that Licensor does not grant other use rights except in writing signed by Licensor’s top management and expressly identifying the document as a license expansion.
4. Creation of any derivative works, and creation of any items that the Licensor, in its reasonable discretion, believes might potentially create any possibility of confusion or be meaningfully similar to, or believes to be at all: based upon, any transformation of, or to any degree adapted from, items relating to any of the WILDROCK® principles or materials and/or those of its speakers, believes to be an alteration of any of such materials, and/or creates use of any unlicensed terms believed to be similar, is not permitted and is agreed not to be done. And all rights to any derivative or other such works or items created (even if unauthorized) are hereby assigned to the Licensor together with all goodwill.
5. Public posting of, sharing, and/or allowing any other person or business to copy, have a copy, have access to, or use any forms, documents, or other WILDROCK® materials is not permitted and is agreed not to be done. All materials provided are to be held strictly confidential as provided.
6. Recording and/or videoing any portion of any presenter’s materials or presentation, live or otherwise, is not permitted and is agreed not to be done. Similarly, reproducing any materials or resources, and/or allowing any other person to use any of the materials or resources or rights granted to Participant is not permitted and is agreed not to be done.
7. Using any of the granted rights, after termination of the grant, or after a breach of any term of this agreement without a WildRock accepted in writing cure, is not permitted and is agreed not to be done.
8. Using any of the rights granted other than with full compliance with the use requirements set forth from time to time and available for the licensor on request and/or as may be contained in https://journey.wildrocktrailblazers.com/brand-usage-policy is not permitted and is agreed not to be done.
9. Publicly displaying (including, to one unauthorized person) any materials, and publicly displaying any terms other than the precisely licensed uses above are not permitted and is agreed not to be done.
10. Distributing and/or sharing any WILDROCK® materials to any other person, other than as authorized in writing, is not permitted and is agreed not to be done.
